Can anyone explain to me what exactly this item does and are there  limited number of times you can use it?<br /><br />-Ravlis (tony)

It lets you polymorph into a Dire Bear.  You have to pay two second level spells to do it, which I think limits you to activating it once per Dungeon, as I think you have fewer than 4 2nd level spells.

Is there a place it has posted the stats fro a dire bear or any details?

Kim's right, the only relevant Stat for the Dire Bear is the Damage Wheel, and that's on the Token.  You lose the "to hit" bonus from your weapon when you use it, your other Stats should stay the same.
